Terms of Service

Welcome to ICPEx ("the Application"). The Application allows users to exchange certain digital tokens by using various smart contract protocols on the blockchain.

This Terms of Service Agreement (“Agreement”) explains the terms and conditions governing your access to and use of the Application. Please read this Agreement carefully. By accessing the Application, you acknowledge and agree to be bound by this Agreement and to comply with its terms. If you do not agree to the terms of this Agreement, please do not access or use the Application.

1. ELIGIBILITY

In order to be eligible to access and use the Application, you must be at least 18 years of age (or the age of majority in your place of residence) and must not be prohibited by the laws of your place of residence from using the Application. Additionally, you must be able to enter into legally binding contracts online on behalf of a company or individual.

If you are agreeing to this Agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind the company or legal entity to the terms of this Agreement, to enter into legally binding contracts online, and to exercise all rights, powers, and privileges necessary to enter into and comply with the obligations under this Agreement.

If any of the following circumstances occur, we may suspend, limit, or terminate your access to any or all features of the Application, and block or prohibit any of your transactional activities: a) if we are required to do so by a binding order of a government authority or any applicable laws or regulations; b) if you breach this Agreement, including but not limited to engaging in any activities prohibited under this Agreement; c) if we decide to do so for any legal or regulatory reasons.

2. MODIFICATIONS TO THESE TERMS

We reserve the right to modify this Agreement at any time. If we make changes, we will provide notice of such changes to you through the Application or by updating the date at the top of this Agreement. Unless we specify otherwise in the notice, any modifications will be effective immediately, and your continued use of the Application will constitute your acceptance of the modified Agreement. If you do not agree to the modified Agreement, you must stop using the Application.

3. PROPRIETARY RIGHTS

ICPEx owns all intellectual property and other rights to use this Application and its content, including all text, images, and trademarks displayed or provided on this Application, as well as all Application software. Unless we expressly authorize it, you may not copy, modify, adapt, rent, lease, sell, publish, distribute, or otherwise allow any third party to access or use the Application or any of its content. If you meet the requirements and subject to your compliance with the terms of this Agreement, we grant you a single, personal, limited license to access and use the Application. The license is non-exclusive, non-transferable, and we may revoke it at any time without notice. It is strictly prohibited to use the Application or its content for any purposes not expressly permitted under this Agreement.

4. TAXES

You are responsible for fulfilling any tax obligations that apply to the transactions you conduct on the application. You should report and pay the correct taxes to the tax authorities. We make reasonable efforts to provide you with your transaction history through your account, but we make no representations regarding the completeness or accuracy of this information.

5. CHANGES; SUSPENSION; TERMINATION

We reserve the right to modify, suspend, or disable all or part of the functionality of the application at any time and for any reason, either temporarily or permanently.

We are not liable for any losses you may incur as a result of any modifications to the application or the suspension or termination of your access to all or any part of the application, for any reason.

Regardless of the reason for the suspension or termination of the application, all terms of this agreement will continue to be effective after you have terminated your access to the application.

6. ELECTRONIC NOTICES

You agree to receive all communications, agreements, documents, receipts, notices, and disclosures (collectively, "our communications") related to the agreement or the application that we provide to you electronically. You agree that we may provide our communications to you by posting them on the application.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold us harmless from all claims, damages, obligations, losses, liabilities, costs, damages, defenses, and expenses, including reasonable attorneys' fees, arising from: (a) your access and use of the application; (b) your violation of any terms or conditions of this agreement, any third-party rights, or any other applicable laws, rules, or regulations; or (c) any other party accessing and using the application with your assistance or using any equipment or account that you own or control.

8. PROHIBITED ACTIVITIES

You agree not to engage in any prohibited activities related to your access or use of the application in the following categories:

8.1 Intellectual Property Infringement - Activities that infringe or violate any person's or entity's copyrights, trademarks, service marks, patents, publicity rights, privacy rights, or other proprietary or intellectual property rights under applicable laws.

8.2 Network Attacks - Activities that attempt to interfere with or damage the integrity, security, or normal operation of any computer, server, network, personal device, or other information technology system, including but not limited to deploying viruses and denial-of-service attacks.

8.3 Fraud or Misrepresentation - Activities that attempt to defraud us or any other person or entity, including but not limited to providing any false, inaccurate, or misleading information to unlawfully obtain the property of others.

8.4 Market Manipulation - Activities that violate any applicable laws, rules, or regulations related to market integrity, including but not limited to manipulative strategies commonly known as fraud and wash trading.

8.5 Gambling - Activities that involve placing a bet on the outcome of a competition, event, or chance game to win something of value, including but not limited to lotteries, bidding fee auctions, political betting, sports forecasting, and raffles.

8.6 Any Other Illegal Activities - Activities that violate any applicable laws, rules, or regulations in your jurisdiction of residence, including but not limited to restrictions and regulatory requirements imposed by laws in your jurisdiction of residence.

9. EXCLUSION OF CONSEQUENTIAL AND RELATED DAMAGES

In no event, whether in contract, tort (including negligence), civil liability, statutory law, strict liability, breach of warranty, or any other theory of liability, shall ICPEx be liable for any incidental, indirect, special, punitive, consequential or similar damages or liabilities arising from your use of the application, even if ICPEx has been advised of the possibility of such damages. This includes but is not limited to damages to data, information, revenue, business reputation, profits, or other benefits.

10. ASSIGNMENT

You may not transfer any rights or licenses granted under this agreement. We reserve the unrestricted right to transfer any rights and licenses under this agreement, including but not limited to any successor to ICPEx's commercial interests or to any ICPEx affiliate or subsidiary.

11. FORCE MAJEURE

We are not responsible for any events or circumstances beyond our reasonable control, including but not limited to natural disasters, civil unrest, terrorism, significant market fluctuations, and failures of internet services, equipment, or software.
